New name TUI AG approved by a large majority during Preussag`s AG general meeting

Around 2000 shareholders and shareholders` representatives attended the 43rd annual general meeting of the Group at the Congress Centre Hanover. During the voting they represented 75,158,549 shares corresponding to a capital of Euro 192,139,779. (42.21 per cent).



The most important items on the agenda were the resolutions on the change of company name to TUI<.> AG and the business purpose. Both resolutions were approved by a large majority (99.9 per cent). The vote of our shareholders and shareholders` representatives is a clear sign of the confidence in the successful repositioning of our Group, was how Dr. Michael Frenzel, executive board chairman of the new TUI AG, assessed the clear result of the voting.



Other items on the agenda were the presentation of the adopted annual financial statements for the 2001 financial year, the management report, and the report of the supervisory board. These were followed by the approval of resolutions on the appropriation of the net income for the year, and the discharge of the executive board and the supervisory board. In addition, the executive board was empowered to purchase own shares in accordance with Article 71, Paragraph 1 No. 8 German Stock Corporation Act. PwC Deutsche Revision Aktiengesellschaft Wirtschaftsprufungsgesellschaft, Hanover, was authorised by the annual general meeting to carry out the audit of the annual accounts for the 2002 financial year. All of the proposed resolutions were approved with 99 per cent yes votes.



The annual general meeting was closed at 15.05 Hrs. by the chairman of the TUI AG supervisory board, Dr. Friedel Neuber.
