Around 2000 shareholders and shareholders` representatives attended the 43rd annual general meeting of the Group at the Congress Centre Hanover. During the voting they represented 75,158,549 shares corresponding to a capital of Euro 192,139,779. (42.21 per cent).

Other items on the agenda were the presentation of the adopted annual financial statements for the 2001 financial year, the management report, and the report of the supervisory board. These were followed by the approval of resolutions on the appropriation of the net income for the year, and the discharge of the executive board and the supervisory board. In addition, the executive board was empowered to purchase own shares in accordance with Article 71, Paragraph 1 No. 8 German Stock Corporation Act. PwC Deutsche Revision Aktiengesellschaft Wirtschaftsprufungsgesellschaft, Hanover, was authorised by the annual general meeting to carry out the audit of the annual accounts for the 2002 financial year. All of the proposed resolutions were approved with 99 per cent yes votes.
